These Terms of Service govern your use of AFAX services, websites, portals, software, applications, APIs, fax numbers, and related communication services. By activating, trying, ordering, accessing, or using AFAX services, you agree to these Terms.
1. Service Description
AFAX provides secure online fax services that may include local or toll-free fax numbers, inbound fax delivery, outbound fax sending, email-to-fax functionality, secure portal access, API access, workflow tools, and related applications.
Certain features, including Healthcare, Enterprise, API, enhanced encryption, document retention, and workflow automation options, may be subject to additional plan terms, service agreements, or operational requirements.
2. Fax Usage, Pages, and Charges
Fax usage may be calculated based on actual page count, transmission duration, destination, number type, or other applicable plan rules. For certain toll-free, international, or U.S. fax transmissions, usage may be calculated based on the greater of the actual number of pages or full/partial 60-second transmission increments.
Unused monthly fax pages, credits, or service allowances have no cash value and do not roll over unless expressly stated in the applicable plan.
AFAX pricing is displayed in Canadian dollars (CAD) unless otherwise stated. Applicable taxes, usage fees, international rates, overage charges, optional services, and currency conversion adjustments may apply. Customers billed outside Canada may be charged the equivalent amount in their local currency based on applicable exchange rates and payment processing requirements at the time of billing.
3. Document Storage and Retention
AFAX offers configurable document retention options depending on the selected plan and customer preferences.
Fax documents may be temporarily stored to support transmission processing, delivery confirmation, scheduled faxing, queued faxing, secure portal access, customer-selected retention settings, and workflow continuity.
Customers may choose whether sent and/or received fax documents remain available in the AFAX portal for supported retention periods. Standard retention options may be limited to available plan settings. Healthcare and Enterprise plans may include enhanced retention controls, minimal-retention workflows, customer-managed encryption options, or extended retention terms.
Documents retained within the AFAX platform are stored using encrypted storage technologies and customer-segregated protection controls.
4. Privacy Policy
Your use of AFAX services is also governed by our Privacy Policy, which explains how AFAX collects, uses, stores, protects, and discloses information.
5. Customer Responsibilities
You are responsible for all content, documents, data, messages, fax transmissions, recipients, account users, integrations, and activities associated with your AFAX account.
You agree that you will:
- Use AFAX services only for lawful purposes;
- Comply with all applicable laws, regulations, privacy rules, telecom rules, and industry obligations;
- Maintain the confidentiality and security of your username, password, MFA/2FA methods, API keys, and account credentials;
- Immediately notify AFAX of any suspected unauthorized access or account misuse;
- Not interfere with, disrupt, misuse, reverse engineer, or attempt unauthorized access to AFAX systems;
- Not transmit unlawful, abusive, misleading, fraudulent, harassing, defamatory, infringing, harmful, or objectionable content;
- Not use AFAX for spam, junk faxing, unauthorized marketing, chain letters, or distribution lists without required consent;
- Pay all charges, usage fees, taxes, and amounts associated with your account.
6. Fax Advertising, Spam, and Acceptable Use
AFAX prohibits unsolicited fax advertising, spam, unauthorized telemarketing, unlawful promotional messaging, and any use of the service that violates applicable laws, including CRTC rules, CASL, PIPEDA, provincial privacy laws, and similar laws in other jurisdictions.
Customers are solely responsible for ensuring that all fax messages, broadcasts, marketing communications, and automated transmissions comply with applicable law. This includes obtaining required consent, including legally required opt-out instructions, and honouring unsubscribe or opt-out requests within required timelines.
AFAX acts as a transmission service provider and does not control or approve customer-generated content. AFAX may suspend, block, throttle, filter, or terminate service activity that appears abusive, unlawful, harmful, excessive, or inconsistent with these Terms.
7. API and Automation Usage
Customers using AFAX APIs, automation tools, webhooks, integrations, or workflow services are responsible for securing their credentials, validating authorized use, and ensuring that automated activity complies with these Terms and applicable law.
AFAX may apply rate limits, usage limits, authentication requirements, monitoring, abuse prevention controls, or other safeguards to protect platform integrity, service availability, and customer security.
8. Healthcare and Enterprise Services
Healthcare and Enterprise plans may include additional privacy, security, retention, encryption, support, workflow, and service-level options. These services may be governed by supplemental agreements, service schedules, or written customer-specific terms.
Unless expressly agreed in writing, public website descriptions, FAQs, or marketing materials do not create a separate service-level commitment, warranty, or compliance certification.
9. Account Security
Customers are responsible for maintaining the security of their AFAX accounts, including passwords, user access, MFA/2FA settings, authorized email addresses, API credentials, and connected systems.
AFAX may provide security features such as MFA/2FA, role-based access controls, audit logs, and access management tools. Customers are responsible for configuring and using these controls appropriately for their organization.
10. Billing, Payments, and Plan Changes
You agree to pay all fees, usage charges, taxes, overage charges, optional service fees, and other amounts associated with the plan or services you selected.
Subscription fees may be billed monthly, annually, or according to the applicable plan. Usage-based charges may be billed during or after the applicable billing cycle.
AFAX may update pricing, plan features, and service charges by posting updated pricing on the AFAX website or notifying customers through account, email, or billing communications. Continued use of the service after such changes take effect constitutes acceptance of the updated pricing.
11. Trials, Credits, Refunds, and Cancellations
Trial, pilot, promotional, or satisfaction-guarantee offers may be subject to additional conditions, eligibility requirements, usage limitations, and plan-specific terms.
Unless otherwise required by applicable law or expressly stated in a written offer, activation fees, monthly fees, annual fees, usage charges, number fees, and optional service fees are non-refundable once billed or used.
AFAX may, at its discretion, issue account credits, service credits, or goodwill adjustments. Such credits have no cash value unless expressly stated otherwise.
12. Failed Payments and Non-Payment
AFAX may suspend, restrict, or terminate services if payment is declined, overdue, reversed, disputed, or otherwise not received when due. Customers remain responsible for all outstanding amounts incurred before suspension or termination.
13. Termination
Customers may request cancellation through the AFAX portal or approved support channels, subject to verification and account review.
AFAX may suspend or terminate service, with or without prior notice, if we reasonably believe that the account is unpaid, abusive, fraudulent, unlawful, insecure, disruptive, or in violation of these Terms.
Upon cancellation or termination, access to the account, fax numbers, documents, service history, and retained content may be restricted or removed according to applicable retention settings, operational requirements, legal obligations, and the Privacy Policy.
14. Modifications to Terms or Services
AFAX may update these Terms from time to time by posting a revised version on the AFAX website or by notifying customers through account or email communications. Continued use of AFAX services after updated Terms are posted or communicated constitutes acceptance of the revised Terms.
AFAX may modify, suspend, discontinue, replace, or enhance any service, feature, plan, application, API, or workflow option at any time, subject to applicable law and any written customer-specific agreement.
15. Intellectual Property
AFAX services, software, systems, designs, processes, trademarks, trade names, technology, documentation, and related materials are owned by Bridge Call Inc., its affiliates, licensors, or service providers, except where expressly stated otherwise.
You may not copy, reproduce, reverse engineer, resell, misuse, or use AFAX intellectual property without prior written permission.
16. Rules Regarding AFAX Numbers
AFAX numbers assigned to customers are provided for use with AFAX services during the active service term. Unless a number has been validly ported in by the customer or is otherwise subject to applicable number portability rights, AFAX retains rights associated with number assignment, management, reassignment, and carrier administration.
16(a). Ported-In Numbers and Port-Out Requests
Customers who previously ported telephone or fax numbers into the AFAX platform may request to port those numbers to another provider at any time, provided that:
- The account remains active and in good standing;
- All outstanding balances, fees, and obligations have been satisfied;
- Valid authorization and port-out documentation are provided;
- The receiving carrier submits a valid port request within the applicable processing period.
Customers are responsible for maintaining active service during the port-out process. AFAX is not responsible for delays, interruptions, rejected requests, or carrier-related issues associated with number portability.
Telephone numbers, fax numbers, toll-free numbers, vanity numbers, or international numbers assigned, purchased, reserved, licensed, or provisioned by AFAX as part of a service plan, promotion, special request, or custom provisioning arrangement remain the property or managed inventory of AFAX and/or its upstream carriers unless otherwise agreed in writing.
AFAX reserves the right to deny or reject port-out requests involving AFAX-assigned numbers, including vanity numbers, promotional numbers, reserved inventory, custom-provisioned numbers, toll-free numbers, or numbers obtained specifically for customer use by AFAX.
Unauthorized attempts to transfer, port, reassign, or obtain control of AFAX-assigned numbers in violation of these Terms may result in service suspension, termination, recovery of associated administrative and operational costs, and additional charges of up to CAD $750.00 per number (or equivalent value outside Canada), where permitted by applicable law.
16(b). Number Reassignment
Following cancellation, termination, non-payment, or abandonment of service, AFAX numbers assigned to your account may be released, reclaimed, or reassigned. AFAX is not responsible for losses or damages arising from number reassignment after service cancellation or termination.
16(c). No Third-Party Charges
Customers may not authorize, request, or cause third-party charges to be billed to any AFAX number. Any such activity may result in immediate suspension or termination.
17. Disclaimer of Warranties
To the maximum extent permitted by applicable law, AFAX services, software, websites, portals, APIs, applications, fax numbers, integrations, and related materials are provided on an "as is" and "as available" basis.
AFAX does not warrant that the services will be uninterrupted, error-free, free from delay, compatible with every system, available in every location, or capable of meeting every customer requirement.
AFAX disclaims all warranties, representations, and conditions, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, compatibility, availability, accuracy, security, or reliability, except where such disclaimer is not permitted by applicable law.
18. Limitation of Liability
To the maximum extent permitted by applicable law, AFAX, Bridge Call Inc., its affiliates, licensors, suppliers, carriers, and service providers will not be liable for indirect, incidental, consequential, special, exemplary, punitive, or similar damages, including loss of profits, revenue, business, goodwill, data, documents, communications, or service availability, arising out of or related to the use or inability to use AFAX services.
AFAX is not responsible for failures, delays, errors, non-delivery, blocked delivery, degraded quality, carrier issues, recipient fax machine issues, email delivery issues, internet connectivity, customer device issues, third-party systems, customer email environments, or other circumstances outside AFAX reasonable control.
To the maximum extent permitted by applicable law, AFAX total aggregate liability for any claim arising from or related to the services will be limited to the greater of: (a) the amount paid by the customer for the affected service during the one (1) month immediately preceding the event giving rise to the claim; or (b) CAD $50.00.
Some jurisdictions do not allow certain exclusions or limitations of liability. In such cases, the limitations in these Terms apply only to the maximum extent permitted by applicable law.
19. Indemnification
You agree to indemnify and hold harmless AFAX, Bridge Call Inc., its affiliates, officers, directors, employees, contractors, suppliers, carriers, and service providers from claims, losses, liabilities, damages, penalties, costs, and expenses arising from your use of the services, your content, your recipients, your violation of these Terms, your violation of law, or your misuse of AFAX services.
20. Governing Law and Jurisdiction
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, without regard to conflict of law principles.
Subject to applicable law, the courts located in Ontario, Canada will have jurisdiction over disputes arising from or related to these Terms or AFAX services.
21. General Terms
If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect. AFAX failure to enforce any provision does not waive its right to enforce that provision later.
You may not assign or transfer your rights or obligations under these Terms without AFAX prior written consent. AFAX may assign or transfer these Terms as part of a business transaction, reorganization, merger, acquisition, or service transfer.
AFAX will not be liable for delay or failure to perform caused by events beyond its reasonable control, including carrier failures, network outages, natural disasters, labour disruptions, cyber incidents, government actions, power failures, third-party service failures, or other force majeure events.
Sections relating to payment obligations, ownership, acceptable use, disclaimers, limitation of liability, indemnification, governing law, and any provisions intended to survive will survive termination of these Terms.
